ADT Inc. has agreed to be acquired by Thrive Holdings in a definitive all-cash deal that values the home security company’s equity at about $7.6 billion, the two companies announced on Thursday, October 29. ADT stockholders will receive $10.00 in cash for each share they hold, a premium of 45.6 percent to ADT’s unaffected closing price of $6.87 on October 27 and 52.1 percent to its 30-day volume-weighted average price through that date. ADT’s board unanimously approved the agreement, which is expected to close in the first quarter of 2027, and Reuters reported the same day that the deal will take the residential security firm private.
The $15.3 billion headline figure is the transaction’s enterprise value, which counts ADT’s debt alongside the value of its shares. Financing commitments have been provided solely by funds managed by affiliates of Apollo Global Management, and the companies said the transaction is not subject to a financing condition. Closing still requires approval by ADT stockholders and U.S. antitrust clearance, and until it completes ADT will continue to operate independently, a sequence of steps tracked on our Corporate America desk.
The agreement also leaves room for a rival bid. ADT may solicit proposals from third parties during a 30-day go-shop period running until November 28, with a possible 10-day extension for certain parties that bid during the initial window. The companies said there is no assurance that process will produce a superior proposal, and ADT may terminate the agreement to accept one if it does.
Thrive Holdings is a permanent capital holding company that owns and operates more than 75 businesses across accounting, IT services and the built environment, and the companies said ADT will form the foundation of its smart home security business after closing. ADT, based in Boca Raton, Florida, provides security and smart home solutions for residential and small business customers in the United States, with more than 150 years of history and a nationwide service network. The buyer said its long-term capital and engineering teams will support sustained investment in ADT’s products, technology and people, and that ADT’s data and privacy policies will remain unchanged.
“ADT is pleased to enter into this transaction, which recognizes the value built by our more than 12,000 employees and delivers an attractive cash premium to our stockholders,” said Jim DeVries, ADT’s chairman, president and chief executive, in the announcement. Kareem Zaki, a partner at Thrive Holdings, said the firm intends to strengthen ADT’s technology and product capabilities with the capital and patience to invest over decades. After closing, ADT will become privately held and its stock will cease trading on the New York Stock Exchange.
